These Terms of Service ("Terms") govern your access to and use of Headnote, an AI-powered legal research and document drafting platform operated by Headnote Private Limited ("Headnote", "we", "our", or "us"), accessible at https://headnote.in.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Who can use Headnote

Headnote is intended for use by qualified advocates and legal professionals practising in India, paralegals working under their supervision, and law students using the platform for study or research. You must be at least 18 years old and capable of entering into a binding contract under the Indian Contract Act, 1872.

2. Not legal advice

Important: Headnote is a research and drafting tool. It does not provide legal advice and does not establish an advocate-client relationship between Headnote and any user or the user's clients. Output from Headnote is generated by AI models and must be reviewed, verified, and approved by a qualified advocate before being relied upon or filed in any court.

You are solely responsible for the accuracy, completeness, and appropriateness of any document filed, citation used, or advice given based on content generated by Headnote. We strongly recommend verifying every cited authority against the original judgment text before reliance.

Headnote offers a free Demo tier (3 days, limited features) and paid subscription plans (Weekly Trial, Monthly, Yearly). Current prices are listed at /pricing and may change with prior notice on the website.

All sales are final once access is granted. We do not offer refunds for partial use of a subscription period. You may cancel auto-renewal (where applicable) at any time before the next billing cycle. See the full Refund Policy for details.

You retain all rights in the content you upload (FIR images, situation queries, case notes, drafts you author). By using the Service, you grant Headnote a limited licence to process your content solely to provide the Service to you. We do not use your queries or uploaded content to train our AI models. See our Privacy Policy for details on how data is handled.

8. AI output & verification

Headnote uses third-party AI models (Anthropic Claude, Groq Llama, Google Gemini, and others). While we implement a three-check verification system for citations, AI output may still contain errors, omissions, or outdated information. You are solely responsible for verifying output before reliance.

9. Service availability

We aim for high uptime but make no warranty of uninterrupted availability. Scheduled maintenance, third-party outages (Supabase, Cashfree, Anthropic, Groq, Indian Kanoon), and unforeseen incidents may cause downtime. We will use reasonable efforts to communicate planned maintenance in advance.

10. Intellectual property

All software, design, branding, documentation, and the curated case corpus are owned by Headnote Private Limited or our licensors. You may not copy, modify, or create derivative works of any Headnote-proprietary material except as expressly permitted by these Terms.

11. Termination

We may suspend or terminate your account if you breach these Terms, attempt to abuse the Service, or engage in conduct harmful to other users. You may close your account at any time by emailing hello@headnote.in.

12. Limitation of liability

To the maximum extent permitted by law, Headnote's total liability for any claim arising from your use of the Service is limited to the amount you have paid us in the twelve (12) months immediately preceding the event giving rise to the claim. In no event shall Headnote be liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, loss of clients, judicial orders adverse to your client, or damages to professional reputation.

13. Indemnification

You agree to indemnify and hold Headnote harmless from any claim, demand, loss, or damage arising out of your breach of these Terms, your misuse of the Service, or your violation of any third-party rights, including but not limited to intellectual property and privacy rights.

14. Governing law & jurisdiction

These Terms are governed by the laws of India. Any dispute arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts at Bhopal, Madhya Pradesh.

15. Changes to these Terms

We may amend these Terms from time to time. Material changes will be announced on the website at least 14 days before they take effect. Your continued use of the Service after that date constitutes acceptance of the amended Terms.
